On October 31, 2025, Galactic Gold Corp. (formerly, Logica Ventures Corp.) (“GGAU” or the “Company”) announced that it had closed its qualifying transaction (the “Transaction”) with BBG Metals Corp. (“BBG”). Concurrently with closing the Company changed its name from “Logica Ventures Corp.” to “Galactic Gold Corp.”

In connection with the completion of the Transaction, the Company’s common shares recommenced trading on the TSX Venture Exchange (the “Exchange”) under the symbol “GGAU” at the open of the market on or about November 5, 2025.

In connection with the Qualifying Transaction, BBG closed a private placement financing pursuant to which it raised aggregate gross proceeds of $1,800,000 through the issuance of 18,000,000 subscription receipts (each, a “Subscription Receipt”) at a price of $0.10 per Subscription Receipt. Immediately prior to the closing of the Transaction, each Subscription Receipt was automatically converted into one common share of BBG (each, a “BBG Share”), and on closing of the Transaction, each BBG Share was exchanged for one common share of the Company (a “Resulting Issuer Share”) pursuant to the terms of the amalgamation agreement dated June 4, 2025, as amended on September 22, 2025, entered into among the Company, BBG, and 1359646 B.C. Ltd., a wholly-owned subsidiary of Logica.

The Company will continue the business of BBG Metals and has listed on the Exchange as a Tier 2 mining issuer. The Company’s principal property is the Hardrock West Project (the “Property”) located in the Thunder Bay Mining Division, Ontario. The Property includes 58 contiguous mineral claims. The mineral claims border and are on strike with the world-class Hardrock deposit of Equinox Gold’s Greenstone Mine.
