Maxis Law represented Blue Jay with a team that included Michael Varabioff and Sean Hawkins.

On September 29, 2025, Blue Jay Gold Corp. (“Blue Jay”) completed the acquisition (the “Acquisition”) of Whitehorse Gold (Yukon) Corp. (“Whitehorse Gold”), a former wholly-owned subsidiary of Tincorp Metals Inc. (“Tincorp”). Whitehorse Gold holds a 100% interest in the Skukum gold project (the “Project”) located in Yukon, Canada.

Pursuant to the terms of the share purchase agreement between Blue Jay and Tincorp (the “Agreement”), the total consideration payable by Blue Jay for the acquisition of Whitehorse Gold is structured as follows: (i) at closing, Blue Jay issued 500,000 common shares of Blue Jay and 250,000 common share purchase warrants (each, a “Warrant”) to Tincorp, having an aggregate value of $300,000; and (ii) $275,000 is to be paid to Tincorp on the first anniversary of the closing date, in cash and/or shares at Blue Jay’s election. Each Warrant entitles the holder thereof to acquire one common share of Blue Jay at an exercise price of $0.90 per share for a period of two years from the date of issuance, subject to certain acceleration provisions.

In connection with the Acquisition, Blue Jay completed a non-brokered private placement of 8,244,442 units of the Company (each, a “Unit”) at a price of $0.60 per Unit for total gross proceeds of $4,946,665.20. Each Unit consisted of one common share of Blue Jay and one-half of one Warrant.

Blue Jay is a Canadian gold exploration company principally focused on growing and discovering resources within established gold producing regions in Canada.
